Terms of Service

1. Provision of Services

By engaging Digital City Technology, LLC for IT services (including managed support, infrastructure projects, cloud configuration, and security-related work), the client agrees to the scope, fees, and responsibilities described in the applicable proposal, statement of work, or master services agreement. Digital City Technology, LLC may adjust methods and tooling within that scope to achieve reliable outcomes and meet industry practices.

2. Timelines and Deliverables

Many IT initiatives depend on third-party vendors, software updates, and client participation (approvals, access, testing). Digital City Technology, LLC provides reasonable estimates for milestones and deliverables. Dates are targets rather than strict guarantees where external factors outside our control apply.

3. Fees, Expenses, and Third-Party Costs

• Recurring managed services fees are billed according to the agreed schedule (for example, monthly in advance) unless otherwise stated in writing.
• Hardware, software licenses, cloud consumption, and similar pass-through costs are typically billed separately or reimbursed as agreed. The client remains responsible for charges assessed by vendors (for example, Microsoft, backup providers, or connectivity providers) unless a different arrangement is documented.
• Late payment may result in suspension of non-critical work or support until the account is current, as permitted by law and your agreement.

4. Intellectual Property & Client Materials

Upon payment for professional services, the client generally owns project-specific documentation and configurations created for their environment as described in your agreement. Digital City Technology, LLC retains rights to its own templates, internal tools, and pre-existing intellectual property incorporated into deliverables, subject to a license for your continued use as needed to operate the delivered solution.
